NGO vs Trust vs Society: Key Differences Explained

Initiating a social venture is indeed a very effective way of making some impact; however, prior to starting activities, picking out the proper legal structure for your venture is essential. The most prevalent choices of organisational form in India include NGO (general name), Trust, Society, and Section 8 Company. Every organisational form possesses different legal characteristics, and knowledge of their distinctions can guide your choice.

What is an NGO?

NGO (Non-Governmental Organisation) does not refer to any particular type of organisation, but rather it is a generic term that covers organisations working for social, charitable, educational, or environmental objectives. An NGO in India can be registered either as a Trust, Society, or Section 8 Company. Therefore, when we talk about NGO registration, we mean the registration of an organisation in one of these forms.

What is a Trust?

A Trust is probably the easiest form of NGO that can be found in India. The formation of a trust is marked by an individual (settlor) transferring his/her property or assets to the trustees for the general public welfare or any particular class of people.

Main Characteristics of a Trust:

Subject to the provisions of the Indian Trusts Act (in most cases)

  • Must have a Trust Deed
  • Typically consists of 2-3 members (trustees)
  • Easy to establish
  • Minimal governmental control

Suitable For:

  • Carrying out charitable work in the family
  • For NGOs consisting of a few members
  • Community-based projects

Drawbacks:

  • No transparency in operations
  • Rigid in making managerial changes

What is a Society?

A Society is an organised version of an NGO, which functions under the Societies Registration Act of 1860. It is set up when a bunch of people unite for some kind of social work.

Characteristics of Society:

  • Needs at least 7 members
  • Membership governed by the Memorandum of Association (MOA) and Rules & Regulations
  • It is more democratic in nature
  • Often needs compliance

Ideal for:

  • Bigger groups working on social issues
  • Education institutes, NGOs, and associations

Not Ideal for:

  • Needs more compliance than Trust
  • Takes time to make decisions due to the many members

What is a Section 8 Company?

Section 8 Company is a not-for-profit company incorporated under the Companies Act, 2013. It is the most professionally structured NGO.

Features:

  • 2 directors are mandatory
  • No minimum capital is required
  • The profits generated are ploughed back to achieve social goals
  • Totally transparent and governed

Suitable For:

  • NGOs wanting CSR funding
  • Organisations looking for a pan-India/national or global identity
  • Business-like activities

Restrictions:

  • Complicated registration process
  • Stringent compliance conditions

Which One Should You Choose?

Choosing the Right Type of NGO:

  • For those seeking simplicity and speed → Trust is the way to go
  • For those with a team looking for democracy, → Society is the appropriate model
  • For those striving for high credibility and funding possibilities → Section 8 Company is the most suitable choice

For those NGOs that intend to raise funds through CSR or from the government, obtaining the necessary registration, as well as 12A, 80G, and Darpan (NITI Aayog), is critical.

Final Thoughts

The choice of either a Trust, Society or Section 8 Company isn’t just a legal one; it will affect the very growth and credibility of your NGO, along with how much financial support you’ll be able to get.

Always remember that prior to selecting one from these options, it will be wise to consider the aims of your NGO, future plans and capabilities of being compliant.

A properly established NGO can make sure that you not only achieve recognition but leave a lasting mark on society.
